EDFUEL TERMS AND CONDITIONS

These Terms and Conditions (“Terms”) govern your access to and use of the website operated by EdFuel (“EdFuel,” “we,” “us,” or “our”).

By accessing or using this website, registering for an event, making a donation, or engaging with our services, you agree to be legally bound by these Terms. If you do not agree, you must discontinue use of the website.

EdFuel is a national nonprofit organization registered in Washington, D.C., that strengthens education organizations—including education, mission-driven, and nonprofit organizations—by providing talent management consulting, leadership development, and equity-focused HR strategies.

Permitted Use of the Website

You agree to use this website only for lawful purposes and in accordance with these Terms.You may not:

  • Violate any applicable law or regulation
  • Interfere with website security or functionality
  • Attempt unauthorized access to systems or data
  • Use the website in a way that could damage, disable, or impair its operation
  • Misrepresent your identity or affiliation

We reserve the right to suspend or terminate access at our sole discretion, without notice, for conduct that violates these Terms.

Donations and Payment Processing

EdFuel accepts donations through a third-party processor (Donation Box). By making a donation, you agree:

  • All donations are voluntary and final
  • Donations are non-refundable
  • Payment processing is governed by the third-party provider’s terms and policies

EdFuel is not responsible for errors, interruptions, data breaches, or failures attributable to third-party payment processors.

Services and Informational Content

Descriptions of consulting services, leadership programs, tools, training, and other offerings are provided for informational purposes only and do not constitute binding contractual commitments unless formalized in a separate written agreement.

We reserve the right to modify, suspend, or discontinue any services at any time without liability.

Events, Webinars, and Programs

EdFuel may host virtual webinars, trainings, workshops, and events (“Events”).

By registering for or participating in an Event, you agree to the following:

Assumption of Risk

Participation in Events is voluntary. You assume all risks associated with participation, including but not limited to technical failures, internet disruptions, unauthorized access by third parties, or reliance on information presented.

No Professional Advice

Content shared during Events is for informational and educational purposes only. Participation does not create a consulting, legal, employment, fiduciary, or advisory relationship unless separately agreed in writing.

Recording & Use of Likeness

EdFuel may record Events for educational, promotional, or archival purposes. By participating, you grant EdFuel a royalty-free, perpetual, irrevocable license to use recordings that may include your name, voice, likeness, chat comments, or submitted questions, unless you notify us in advance in writing.

Code of Conduct

Participants must engage respectfully and professionally. Discriminatory, harassing, abusive, or disruptive behavior will not be tolerated. EdFuel reserves the right to remove participants from Events without refund or liability.

Release and Waiver of Liability

To the fullest extent permitted by law, you release and hold harmless EdFuel, its officers, directors, employees, contractors, and affiliates from any and all claims, liabilities, damages, or expenses arising out of or related to your participation in Events.

Newsletter Subscriptions

By subscribing to our newsletter or other email communications, you consent to receive updates and information from EdFuel. You may unsubscribe at any time by clicking the “unsubscribe” link included in our emails or by contacting us directly.

Our website and communications are intended for individuals who are at least 18 years of age. In accordance with the Children’s Online Privacy Protection Act (“COPPA”), we do not knowingly collect personal information from children under 13 years of age. If we become aware that we have collected personal information from a child under 13 without verified parental consent, we will take reasonable steps to delete such information. If you believe we may have collected information from a child under 13, please contact us at info@edfuel.org.

Intellectual Property

All website content—including text, graphics, logos, materials, tools, and branding—is owned by EdFuel or licensed to us and is protected by intellectual property laws.

You may share materials for educational, non-commercial purposes provided:

  • Proper attribution to EdFuel is given
  • Materials are not altered in a misleading manner
  • No fee is charged for redistribution

Any other use requires prior written permission.

Third-Party Links

Our website may contain links to external sites. We are not responsible for their content, policies, or practices. Accessing third-party sites is at your own risk.

Disclaimer of Warranties

The website, services, and Events are provided on an “as is” and “as available” basis.

To the fullest extent permitted by law, EdFuel disclaims all warranties, express or implied, including but not limited to:

  • Fitness for a particular purpose
  • Non-infringement
  • Accuracy or completeness of content
  • Uninterrupted or error-free access

We do not guarantee specific results from the use of our services, materials, or Events.

Limitation of Liability

To the fullest extent permitted by law:

  • EdFuel shall not be liable for any indirect, incidental, special, consequential, or punitive damages
  • EdFuel shall not be liable for loss of data, revenue, profits, or goodwill
  • EdFuel’s total aggregate liability arising from or related to the website, services, donations, or Events shall not exceed the amount paid by you to EdFuel in the preceding twelve (12) months, if any

This limitation applies regardless of the legal theory asserted.

Indemnification

You agree to indemnify, defend, and hold harmless EdFuel and its officers, directors, employees, contractors, and affiliates from and against any claims, liabilities, damages, losses, costs, or expenses (including reasonable attorneys’ fees) arising out of:

  • Your violation of these Terms
  • Your misuse of the website
  • Your participation in Events
  • Your violation of applicable law

Force Majeure

EdFuel shall not be liable for any delay or failure to perform resulting from causes beyond its reasonable control, including but not limited to natural disasters, internet outages, governmental actions, labor disputes, or technical failures.

Governing Law

These Terms are governed by and construed in accordance with the laws of Washington, D.C., without regard to conflict of law principles.

Any disputes arising under these Terms shall be resolved in the courts located in Washington, D.C.

Changes to These Terms

We may update these Terms at any time. Changes will be posted with an updated “Last Updated” date. Continued use of the website constitutes acceptance of the revised Terms.
